Adani Enterprises Limited informed the stock exchange on Saturday about the incorporation of four new wholly-owned subsidiary companies, namely Adani Mangaluru Airport City Limited (AMACL), Adani Jaipur Airport City Limited (AJACL), Adani Lucknow Airport City Limited (ALACL) and Adani TRV Airport City Limited (ATACL), under its step-down subsidiary called Adani Airport City Limited.
These subsidiary companies, which have been incorporated to focus on real estate and construction projects, mark a strategic expansion in the company’s airport-linked infrastructure development. Each of the four new companies has been incorporated with a paid-up share capital of Rs 10,00,000, according to the regulatory filing.
Adani Enterprises has confirmed that these four subsidiaries, held by Adani Airport City Limited, will specifically focus on the development of airport city projects in Mangalore (Mangaluru), Jaipur, Lucknow and Thiruvananthapuram. Adani TRV Airport City Limited (ATACL) will focus exclusively on developing airport-related real estate assets in Thiruvananthapuram, Kerala, according to the company statement.
Each of the four incorporated entities is dedicated to real estate development activities, including the construction of buildings on its own or leased property, as well as the management of hospitality assets such as hotels, motels, and resorts. The company has invested a paid-up capital of Rs 10,00,000 into each subsidiary company, represented by 1,00,000 equity shares per entity at a face value of Rs 10.
The latest move reinforces the Adani Group’s commitment to creating integrated commercial and hospitality ecosystems surrounding its airport assets, which it had announced earlier.
In December 2025, the Adani Group had announced that it would invest Rs 1 lakh crore (US$ 12.5 billion) in its airport sector over the next five years to help the group capitalise on growing trends in air traffic demand, which is estimated to grow at a Compound Annual Growth Rate (CAGR) of 16%, according to Adani Airports Director Jeet Adani.
The current operations of Adani Airports encompass a broad spectrum of metro and regional airports, namely Ahmedabad, Lucknow, Guwahati, Thiruvananthapuram, Jaipur and Mangalore, besides Mumbai, as well as the Navi Mumbai International Airport, which began operations recently.
As a result of this substantial capital injection, the conglomerate intends to improve airport infrastructure, improve passenger experience, and take a proactive role in impending airport privatisation tenders, including the shortlisted 11 airports to be operated by the government. Apart from developing core airport infrastructure, Adani Airports is also expected to develop other supporting facilities and improve capacities.
